Summary of Position
The Sr. Coordinator, Business & Legal Affairs position requires a talented individual who will handle a variety of legal and administrative duties in support of daily operations for two Business & Legal Affairs Executives in the Office of the General Counsel.
Responsibilities
• Maintain and track corporate subsidiaries (in the US, UK, Canada, and other international territories)
• Maintain subsidiary database, corporate minute books, records, and other legal files
• Draft resolutions and other corporate documents such as bylaws, operating agreements, and consents
• Draft and file all formation, merger, and dissolution documents for corporate entity structure
• Draft and manage company confidentiality agreements
• Work with tax department to maintain proper entity management for subsidiaries and joint ventures
• Oversee maintenance of credit agreement and other corporate debt facilitates
• Act as a liaison for Board of Directors and C-level executive officers
• Manage and plan Board of Director and shareholders meetings, including preparing meeting materials
• Draft correspondence and simple general corporate, securities and finance agreements
• Prioritize and manage deadlines for multiple simultaneous contracts and projects
• Route contracts for execution
• Providing administrative support, including answering phones, scheduling meetings and conference calls, making travel arrangements, and processing expense reports.
• Organizing and maintaining legal files.
• Overseeing the approval process of outside legal expenses.
• Assisting on a wide variety corporate legal, litigation, and risk management-related matters, including the review of cease-and-desist letters, responses to subpoenas, and other legal documents.
Qualifications and Skills
• Experience working for a public company and/or in business & legal affairs is a plus, but not required
• Self-starter who has an interest in the business and legal side of entertainment
• Must have strong computer and interpersonal skills
• Must be able to meet tight deadlines, capable of working with confidential legal information, and able to succeed in a fast-paced, deadline-driven environment
• Must be detail-oriented and organized, with the ability to prioritize multiple tasks
• Excellent communication skills, including the ability to liaise with C-Suite executive officers and their support teams, and other senior management
• Excellent research, writing, and drafting skills
• Paralegal Degree preferred, but not required

Compensation
$55,000 - $57,500
