Job Description
The role is to work with the VP, Legal & Business Affairs and the rest of the EMEA Legal Team, assisting and executing business and legal affairs functions for all aspects of the CNBC EMEA business and the newly formed, NBCUniversal Global Partnerships team. The role reports to the VP, Legal & Business Affairs, based in London.
This position would suit a mid-level lawyer who is keen to deepen their knowledge and understanding of the TV business with a particular interest in business news. The ability to prioritise efficiently, and communicate regularly and appropriately with other departments is essential. A good working knowledge of the legal and regulatory landscape in relation to news and current affairs broadcasting and advertising and sponsorship is required. Also required is solid knowledge and understanding of Ofcom Broadcasting Code.
KEY RESPONSIBILITIES
Commercial Matters:
Drafting, review and negotiating contracts relating to all activities of the CNBC, and regarding advertising, also for the Global Partnerships business, including channel/content distribution agreements, services agreements, licensing agreements, advertising sales agreements,
events and barter agreements, third party advertising and distribution representative agreements and various operational agreements. The role requires an understanding of the changing TV ad sales market and the legal issues that arise as deals get more complex and the boundary between editorial and advertising narrows.
Business Development:
Supporting the VP, Legal and Business Affairs and Business Development team with renewals of existing partnerships (e.g. CNBC Africa) and joint ventures, and assisting with the drafting and negotiation of new partnerships and multiplatform content syndication deals across the region.
Editorial:
A solid understanding of the regulatory requirements of the Ofcom Broadcasting Code, the BCAP Code and the ASA Codes and the NBCU News Policy in relation to programming, advertising and sponsorship.
Dispute Resolution:
Supporting the VP, Legal & Business Affairs to resolve potential or actual disputes across the region. This may include conducting research, preparation of instructions to external counsel and summarising and communicating advice to the business.
Data Privacy
A basic understanding of data privacy laws and regulations (including GDPR) and how they impact the business. Liaising with the NBCUniversal privacy team as required and communicating their advice to internal stakeholders.
Compliance:
Ensuring compliance with laws and regulatory requirements (including FCPA, FARA and competition laws), implementing internal policies and providing assistance and training to facilitate compliance with such laws, regulations and policies. Liaising with the NBCUniversal compliance team when required.
Taking responsibility for the management of third-party representatives. Working with the business to ensure all internal compliance requirements are met when appointing and managing third party representatives.
Intellectual Property:
A solid understanding of trade mark and copyright principles (including ''fair dealing / ''fair use'') and the ability to advise the editorial team in relation to such principles with limited assistance from VP, Legal and Business Affairs. Advising and assisting with enforcement of the business' IP rights and brands (including trademarks and trade names). Advising the business on registrations and infringements. Liaising with the NBCUniversal IP team as required and communicating the advice to internal stakeholders.
Company Secretarial:
Assisting with local entities' corporate secretarial needs as required.
General Advice:
Providing prompt, accurate and practical legal and commercial counsel to the business teams as required.
External counsel:
Engagement and supervision of outside counsel as required.
This position my support and direct other special projects and perform other related duties as assigned and directed by management.
Qualifications
SKILLS AND EXPERIENCE
• Qualified lawyer, with at least 2 years post qualification relevant experience, preferably at an international law firm in Asia, Europe or the US and/or from an in-house role at an international broadcast/media company
• Significant experience in contractual and commercial law, and experience with applicable compliance and regulatory regimes
• First class drafting skills, with a methodical and detail-oriented approach
• Excellent oral and written English communication skills.
• Time management capabilities, client-servicing skills and problem-solving abilities
• Ability to work independently, multi task, prioritise and work under pressure
• Passion for the role with a ''can do'' attitude
• A commercially minded team player with strong interpersonal skills
• Solid drafting skills
