Your New Role

Warner Bros. Discovery seeks a talented corporate and commercial contracts attorney to join its legal department. This attorney will primarily be responsible for drafting and managing a variety of intercompany agreements relevant to the areas of IP (including associated content distribution rights), tax, and finance/ transfer pricing. Such agreements also will include assorted upstream and downstream arrangements, and various intercompany services agreements. The attorney should also expect to work on various commercial and services agreements in support of various M&A and JV transactions.

Your Role Accountabilities
• Draft and manage a variety of upstream and downstream agreements memorializing the flow of IP/ content/ distribution related rights within the company.
• Support the finance teams in recording a wide variety of intercompany charges, including personnel costs, licensing support, and technical assets.
• Draft program content and rights license agreements.
• Draft cash transfer agreements.
• Draft stock-based compensation cost reimbursements.
• Draft other services agreements related to a variety of functions, including channel operations, ad sales and cross promotions.
• Draft agreements to support various M&A and JV transactions.

Qualifications & Experience
• 6+ years of relevant corporate and/or commercial contracts related experience.
• Experience as in-house counsel and/or within entertainment industry (or similar) preferred, but not required.
• Experience with drafting a variety of agreements involving complex IP/ content distribution, tax and finance related considerations.
• Experience managing a broad set of agreements from an operational perspective, including associated expiration terms.
• BA/BS degree
• JD degree from an accredited law school
• Admission to at least one state bar
• Extensive experience in drafting various commercial agreements and partnering with internal stakeholders on same.
• Strong communication and interpersonal skills; and ability to influence to collaborate effectively are essential.
• Strong organizational skills and an ability to manage and track a large volume of agreements with different terms.
• Ability to spot and analyze complex issues and devise practical strategies and solutions.
• Ability to act autonomously and drive results
