Overview and Responsibilities

Paramount Global is looking for a motivated, diligent individual to join our Corporate Legal Department. This position offers the opportunity to support a wide range of corporate legal areas, as well as assisting with various legal issues. The ideal candidate has pertinent experience in an in-house legal department supporting mergers & acquisitions, joint venture management, corporate housekeeping, treasury, and/or other legal operations. This position involves exposure to senior executives and third parties.

Responsibilities Include:
• Support in the preparation and review of diligence materials, deal execution and post-closing matters.
• Coordinate data collection and provide paralegal support for domestic and international corporate subsidiary maintenance.
• Prepare organizational documentation, board and stockholder resolutions, certificates, delegation letters of authority, confidentiality agreements, signature pages, checklists and other documentation.
• Monitor deadlines and assist with the preparation of federal and state regulatory filings.
• Conduct legal research.
• Support the Corporate Legal Department with other legal matters as requested.

Basic Qualifications
• Undergraduate degree and/or paralegal certificate from an ABA-approved program.
• 5+ years of experience at a large law firm or in-house legal department.

• Ability to multi-task in a fast-paced environment, meet deadlines, prioritize time-sensitive tasks and manage client expectations.
• Work across organizational and geographic boundaries, in a constantly evolving industry.
• Experience drafting corporate documentation and ability to read and understand contractual terms and experience reviewing contracts.
• Ability to gather and process large amounts of data, compile information and prepare reports.
• Ability to communicate clearly and effectively both in writing and orally with colleagues and clients at all levels.
• Strong organizational and problem-solving skills, be a quick learner and have an attention to detail.
• Common sense, and business judgment, including high integrity and judgment in managing confidential and sensitive information.
• Proactive, curious, resourceful and ''can do'' approach to recognizing needs and solving problems.
• Proficiency in MS 365, including Word, Power Point, and Excel; Adobe Acrobat Pro; and DocuSign.
• Experience with Diligent Entities database, EDGAR, virtual data rooms providers, iManage, Workshare Compare.
• Familiarity with Securities laws and filings.

ADDITIONAL INFORMATION

Hiring Salary Range: $74,400.00 - 95,000.00.

The hiring salary range for this position applies to New York, California, Colorado, Washington state, and most other geographies. Starting pay for the successful applicant depends on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education. The benefits available for this position include medical, dental, vision, 401(k) plan, life insurance coverage, disability benefits, tuition assistance program and PTO or, if applicable, as otherwise dictated by the appropriate Collective Bargaining Agreement. This position is bonus eligible.

Salary Details
Salary Range: $74,400 to $95,000 Per Year ($ USD)
