Title: SVP, Global Head of Compliance & Ethics

Location: New York, NY

Position Overview:

Reporting to the General Counsel, the SVP, Global Head of Compliance & Ethics will be responsible for leading and enhancing Warner Bros. Discovery Global Compliance & Ethics & Program. This requires identifying and mitigating compliance risks through policy development, training and awareness, due diligence, internal investigations, and other key initiatives.

The SVP, Global Head of Compliance & Ethics will be responsible for routinely advising senior management on the code of conduct, antitrust, anti-corruption, sanctions, insider trading, conflicts of interest, government and internal investigations, controls, and general compliance matters.

This executive will provide inside strategic guidance to the General Counsel and senior management on all compliance matters. Also, this executive will oversee all compliance investigations worldwide and chair a cross-functional
oversight committee. In collaboration with the General Counsel and senior leaders across Warner Bros. Discovery, the SVP, Global Head of Compliance & Ethics will formulate an integrated compliance & ethics program for the
organization and lead a talented team of professionals to help implement and expand it.

Responsibilities

Key Responsibilities:
• Designs, implements, and maintains administration of all aspects of the Ethics & Compliance Program across the enterprise, including risk mitigation strategies.
• Facilitate the implementation and awareness of the Company's Standards of Business Conduct to help foster the Company's culture of 'doing the right thing.'
• Supervise and conduct compliance investigations, including engaging and overseeing outside counsel
• Conduct due diligence in connection with strategic transactions, productions, and third parties
• Provide counsel on all aspects of anti corruption laws, including the US Foreign Corrupt Practices Act and U.K. Bribery Act, as applicable to the Company's operations
• Provide counsel on compliance with E.U. and US economic sanctions and related topics
• Oversees compliance training and awareness campaigns
• Advises business units on compliance policies and legal requirements.
• Adhere to regulatory reporting guidelines and filing deadlines
• Leads and mentors a strategic, skillful, best-in-class compliance and ethics staff

Qualifications

Head of Global Chief Compliance & Ethics Officer Profile:
• The successful candidate has at least 20 years of experience working at a senior level in a major corporation, government agency, or law firm with experience managing the development and implementation of compliance & ethics programs for large, complex, and global organizations.
• This executive is a proven legal executive who has demonstrated the ability to build a major business
organization's best-in-class compliance & ethics department.
• Intelligent, personable, and collegial, this person values networking and appreciates the importance of collaboration. This executive is a strategic, critical thinker who is comfortable offering solutions that mitigate risk to support the Company, its unique position in the market, and the strength of its performance and its brands.
• The successful candidate has significant knowledge and experience in anti-corruption, sanctions, and antitrust, preferably in the film and entertainment business.
• This executive has extensive experience counseling senior executives at the highest level and has a proven ability to become a trusted advisor to them regarding compliance issues.
• This person is an exceptional collaborator, coach, and advisor who inspires confidence and trust in all stakeholders.
• This candidate will have a healthy ego and should be self-confident to deal with high-level executives across all the businesses, with the ability and knowledge to push back where appropriate.

Education

An undergraduate degree is required; a J.D. degree from an accredited law school is needed, plus admission to the bar in one state is required; Bar membership must be in good standing

Compensation

Warner Bros. Discovery intends to attract a superior SVP, Global Head of Compliance & Ethics and is prepared to
offer an attractive compensation package including a base salary plus bonus and equity.
